Explanation of Responses:
(1)	The original Form 4, filed on August 7, 2020, is being amended and restated by this Form 4 amendment solely to correct an error, which failed to report the 4,146 common stock shares withheld to offset the reporting person's tax obligation upon vesting of the Restricted Stock Units("RSU").
(2)	Each RSU represents RSUs awarded to the reporting person under the Harte Hanks, Inc. 2013 Equity Incentive Plan. It represents a contingent right to receive one share of Harte Hanks, Inc.'s common stock upon vesting.
(3)	These RSUs vested on the date of grant.
