Material Modification to Rights of Security Holders.
On May 8, 2019, the Board of Directors on Know
Labs, Inc.(the “Company”) approved the Amendments below:
Convertible Promissory Notes with Clayton
A. Struve
On May 8, 2019, the Company signed Amendment
2 to the convertible promissory or OID notes with Clayton A. Struve, extending the due dates to September 30, 2019.
Convertible Redeemable Promissory Notes
with Ronald P. Erickson and J3E2A2Z
On May 8, 2019, the Company approved Amendment
1 to the convertible redeemable promissory notes with Ronald P. Erickson and J3E2A2Z, extending the due dates to September 30,
2019 and increasing the interest rate to 6%.
The Exhibits will be disclosed as part of the
Form 10-Q for the three months ended June 30, 2019.
