Explanation of Responses:
(1)  The reporting person was awarded such securities in exchange for waiving compensation owed in the amount of $5,000 as well as pursuant to the terms of a Consulting Agreement dated March 1, 2017.
(2)  The option was granted on November 22, 2018 and provides for vesting as follows: (i) 40,000 shares of common stock vest on the first anniversary of the date of grant; and (ii) the balance will vest in eight equal quarterly installments following the first anniversary of the grant date, subject to the Reporting Person's continued employment by the company.
