Transition by Alex Smith from Executive Chairman to
Non-Executive
Chairman
As previously announced, Sharon Leite was appointed Chief Executive Officer of Vitamin
Shoppe, Inc. (the Company) effective August 27, 2018. Effective September 1, 2018, Alex Smith will transition from the role of Executive Chairman of the Board to be the
Non-Executive
Chairman
of the Board.
In his capacity as
Non-Executive
Chairman of the Board, Mr. Smith will be entitled to receive
$350,000 in cash compensation per year (pro rata for any partial year) from September 1, 2018 until the date Mr. Smith is no longer acting in the capacity as
Non-Executive
Chairman. On
September 1, 2018, Mr. Smith will be granted an award of restricted stock units under the Companys 2018 Long-Term Incentive Plan valued at $150,000.
