Good morning,

We are nearly ready for Tuesday’s integration team kickoff and have spent this week ensuring the presentation materials and topics to be covered help our teams get off to the best start possible in the multi-month integration process. On day one of their three days together next week, the teams will discuss the key principles and framework to guide this integration, including a better understanding of the timeline and deliverables throughout the process. The focus will be on prepping for and then quickly jumping into the Analysis phase, in which the teams will learn each other’s operating models - analyzing the similarities and differences within our various business units with an emphasis on finding best practices.
 
We will be asking the teams to quickly establish a team charter - defining their objectives, what is in scope, what is out of scope, and other teams with which they will interface and/or be dependent upon to complete their work. Tuesday’s kickoff will ensure the teams are equipped with examples of how to complete this work and ample opportunity to ask questions of the Integration Management Office (IMO) staff and our integration consultant, Strategy&. Teams will be provided deadlines of deliverables to ensure they work at a swift but steady and manageable pace, as our goal will be to complete the Analysis phase by mid-September. While the kickoff will occur at the DoubleTree in downtown Evansville due to space requirements, you will see the teams meeting in conference rooms at our Evansville buildings on Wednesday and Thursday as they get started on their integration assignments.

Once the kickoff week has been completed, teams will rotate their travel assignments between Evansville and Houston. As originally announced, the integration effort is centered in Evansville so travel is being planned such that the majority of any team’s time will be in Evansville. We are planning that all teams will have, on average, about one third of their time in Houston.

From an employee communications standpoint, we expect regular report-outs from these teams - on a weekly basis - to the IMO, so the cross-functional Communications team will be focused on how to share those team updates and key milestones with all colleagues at Vectren and CenterPoint Energy.
 
On the regulatory approval front, the U.S. Federal Trade Commission recently granted early termination of the Hart-Scott-Rodino Antitrust waiting period, allowing us to check off one key step in the overall merger approval process. On August 28, Vectren will hold a special shareholders meeting at One Vectren Square, the sole purpose of which is to vote on matters relating to the proposed merger of CenterPoint Energy and Vectren. Next week, the final version of the proxy statement for this meeting will be filed with the Securities Exchange Commission and mailed to our shareholders. As a reminder, this meeting will be limited to Vectren shareholders and will not be open to the general public. Results of the vote will be shared at this meeting, after which Vectren and CenterPoint Energy will issue a news release. Finally, the Indiana Utility Regulatory Commission has set a schedule for the review of our merger that includes a mid-October hearing - so we are indeed moving forward on all fronts in our quest to combine our two companies.
