Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 28, 2017, the Compensation Committee (the “Committee”) of the Board of Directors of Och-Ziff Capital Management Group LLC (the “Company”) approved cash distributions to certain Executive Managing Directors in order to adjust for estimated allocations of 2017 taxable income from the OZ Management LP, OZ Advisors LP and OZ Advisors II LP (the “OZ Operating Partnerships”) pursuant to the OZ Operating Partnerships’ Limited Partnership Agreements in excess of the cash otherwise distributable to them on their Group D Units (which consists of one Class D operating group unit in each of the OZ Operating Partnerships). In order to adjust for estimated allocations of 2017 taxable income in excess of his cash distributions, Mr. Wayne Cohen, could receive approximately $1,665,030 on his Class C Non-Equity Interests (which consists of one Class C Non-Equity Interest in each of the OZ Operating Partnerships) subject to change based on the final calculation of 2017 taxable income in excess of cash distributions. Distributions to Mr. Cohen will be payable ten percent (10%) on or about December 29, 2017; with any additional amounts being paid before April 5, 2018 subject to the determination of the Committee.
