Director/PDMR Shareholding

Notification Under DR 3.1.4 (R) (1) (a) and (b)

The Company was notified on 22 January 2007 that the Venture Production IOM
Employee Benefit Trust (the "Trust") had transferred 58,110 ordinary shares in
the Company to Marie-Louise Clayton (Finance Director) in accordance with her
contract of employment and the rules of the Venture Production plc Annual
Deferred Share Bonus Plan. Following this transfer the Trust now has an interest
in 2,063,433ordinary shares of the Company representing 1.56 % of the issued
share capital of the Company.

On 22 January 2007 Marie-Louise Clayton sold 58,110 ordinary shares in the
Company representing 0.04 % of the issued share capital of the Company at
#7.441818 pence per share, a proportion of which were sold to cover the taxation
liability arising upon receipt of the shares.

Following this transaction Marie-Louise Clayton retains the following interests:
