Exercise of share option under the Taylor Woodrow Executive Share Option Plan.
This was the first executive share option granted to Mr. Napier after he joined
the Group on 10 January 2002 and matured on the third anniversary following its
grant. Following the exercise of this option, the resulting 1,193,819 shares
were sold.

Mr. Napier also holds unvested rights to acquire Taylor Woodrow shares,
including the following:

Executive options on 432,865 shares
Matching awards under the deferred bonus plan on 221,278 shares
Conditional awards under the Performance Share Plan 142,857 shares
