Director Changes

TVC Holdings plc ("TVC" or the "Company") announces the appointment of Mr John Fagan as a Director and the resignation of Mr John B McGuckian, Mr Gavin O'Reilly and Mr Pádraig Ó Ríordáin as Directors with effect from 27 June 2014.

Mr John Fagan, age 52, is a chartered accountant and is Chief Financial Officer and Company Secretary of TVC. As at 27 June 2014, Mr Fagan's beneficial shareholding in the Company is 265,024 Ordinary Shares, representing 0.3% of the Company's total issued ordinary share capital, and 778,395 options over Ordinary Shares.

TVC Executive Chairman, Shane Reihill, welcomed the appointment of Mr Fagan to the Board and thanked Mr McGuckian, Mr O'Reilly and Mr Ó Ríordáin for their contribution to TVC over the past seven years. Mr McGuckian, Mr O'Reilly and Mr Ó Ríordáin joined the Board of TVC shortly before the Company's IPO in July 2007.

Details of the directorships held by Mr Fagan within the past five years are set out at the end of this announcement. There is no further information that is required to be disclosed pursuant to Schedule Two, paragraph (g) of the ESM Rules or AIM Rules in relation to Mr Fagan.
