Result of Annual General Meeting
                          
At the Annual General Meeting held today, the audited
accounts for the year ended 30th June 1997 were
adopted.

Dr. S. Minter was not re-elected as a Director, and
the resolution to remove Mr. P. Raymond was not
passed.  The resolutions to elect Messrs. Evans,
Finch and Primrose were not voted on, following the
withdrawal of their agreement to stand as Directors.

The Board now comprises:

Mr Peter Raymond    -    Non Executive Chairman
Dr. Simon Douglas   -    Chief Operating Officer
Mr Alec Craig       -    Non Executive Director
Mr. Anthony Warburton    -    Finance Director

The Chairman, Mr. C.J.F. Madden, who was not standing
for re-election, made the following statement:

"As shareholders are aware, in view of my other
commitments I shall be handing over to Mr. Peter
Raymond at the end of this meeting.  I believe that
the Company is well positioned to exploit DARAS and I
wish Peter Raymond and the Board every success in the
future".

Peter Raymond said:

"On behalf of the Board I would like to thank
shareholders and employees for their support during
this difficult period.  We believe that Tepnel has an
exciting future ahead of it and we are confident in
our ability to build upon the successes achieved
since the rights issue by adhering to the strategy
outlined at that time.  We intend to review the
composition of the Board in order to strengthen the
executive team and ensure that the Board contains a
proper balance of expertise amongst its executive and
non-executive directors.

After the launch in November, we continue to receive
a lot of interest in DARAS and now have over 80
positive leads in the UK alone.  Internationally, we
are in well developed negotiations with several
European distributors.  As planned, we are still
aiming to achieve clinical demonstration of SPA in
the second half of 1998."
