DIRECTORS' INTERESTS IN SHARES

On 10 March 1999, the Remuneration Committee of the Board agreed that
Performance Awards were made in accordance with the Rules of the Senior
Engineering Group Long Term Share Incentive Scheme to the following Executive
Directors of the Company in respect of the following numbers of shares:

          N V Turnbull           54,545

Shares will only be released at the end of a three year 'restricted period'
subject to achievement of Total Shareholder Return performance requirements
against a "Peer Group".

Mourant & Co Trustees Limited, acting as trustee for the Senior Engineering
Group Employee Benefit Trust, has today advised us that yesterday, 11 March 1999
it purchased a total of 414,152 shares of 10p each nominal value at a price of
#1.53 per share.  As potential beneficiaries under the Trust each executive
director of Senior Engineering Group plc is treated as being interested in all
the shares acquired by the Trust.
