David Clayton to be appointed Non-executive Chairman

5 June 2013 - Maidenhead, UK - SDL PLC ("SDL" or "the Company") today announces that David Clayton has been appointed Non-executive Chairman of the Company with effect from 1 July 2013. He takes over the role of Chairman from Mark Lancaster who has held the combined role of Chief Executive Officer and Chairman since November 2012.

The appointment continues the Company's process of developing best governance practice and allows Mr Lancaster to focus entirely on his role as CEO during an important stage of the Company's development.

Mr Clayton has been a Non-executive Director of SDL since December 2009 and Senior Independent Director since April 2012. Mr Clayton previously held the positions of Non-executive Director and Senior Independent Director of The Sage Group plc ("Sage"), prior to taking an executive role at Sage.

Mark Lancaster, CEO and Chairman said "David has extensive experience of the software industry and listed companies. His appointment comes at an important point in SDL's development. The Company will be seeking to appoint a further Non-executive Director later in 2013.

About David Clayton

David Clayton was appointed a Non-executive Director of SDL in December 2009 and Senior Independent Director in April 2012.

After a career in senior executive roles at a number of international technology companies he joined BZW where, after its merger with CSFB in 1997, he was Managing Director and Head of European Technology Research until 2004. David Clayton joined The Sage Group plc Board in June 2004 as a Non-executive Director and took up his executive role as Director of Strategy and Corporate Development from October 2007 to February 2012.
