SDL plc (the "Company")

The Company was notified on 17 October 2000 that Zurich Financial Services
Group, Zurich Allied AG and Allied Zurich plc who have an interest in
1,625,000 ordinary shares of 1p each in the Company representing 4.1 per cent.
of the issued share capital, now hold their shares through Zurich Group
Holding, Zurich Financial Services and Allied Zurich plc.  This has resulted
from a corporate re-structuring but there is no change in their interest in
the Company.
