SDL plc ("the Company")

The Company were informed on 10th May 2000 that as a result of the rights
issue which closed on 9th May 2000, the Zurich Financial Services Group and
Zurich Allied AG, both of Switzerland, and allied Zurich plc's notifiable
interest remains at 2,404,229 ordinary shares but this now represents 6.1% of
the Company's issued ordinary share capital.
