SDL plc ("the Company")

RESULTS OF THE RIGHTS ISSUE

The Company announces that the 1 for 6 rights issue of up to 5,638,470
ordinary shares of 1 pence each ("Rights Shares") at 390 pence per Rights
Share closed at 3.00pm on 9 May 2000. Applications have been received for
2,772,653 Rights Shares (which includes 2,731,203 firm placed Rights Shares
and the 9,105 Rights Shares which certain of the Directors committed to take
up), which represents an aggregate take-up of approximately 49.18 per cent. 
Fractions to Rights Shares amounted to 756 Rights Shares and these shares have
not been allotted.

The balance of the Rights Shares, being 2,865,061 Rights Shares, has today
been allocated to the sub-underwriters.

It is expected that definitive share certificates in respect of the Rights
Shares will be despatched to shareholders by 16 May 2000.
