In April 2003 SDL acquired the Lomac group of companies.  In accordance with the
terms of the sale and purchase agreement, SDL has issued the second tranche of
Ordinary Shares in SDL to the former owners of Lomac, being part of the deferred
consideration.


A total of 575,110 shares, ranking pari passu with existing shares, are due to
be issued over the next year, including 287,554 shares now issued as of 18 April
2004. Application has been made for the shares to be admitted to the Official
List and admission to trading on the London Stock Exchange is expected to be on
22 April.
