THE PHOENIX IT GROUP PERFORMANCE SHARE PLAN 2004

On 7th July 2009, the following awards ("Awards") over ordinary shares in the 
Company were made under the Phoenix IT Group Performance Share Plan 2004 (the 
"Plan") to Directors of the Company and other Persons Discharging Managerial

No consideration was paid for the grant of the Awards which is structured as an 
option with a nil exercise price. 
 
 
The vesting of an Award is ordinarily subject to continued employment of the 
participant and the satisfaction of performance conditions set by the 
Remuneration Committee of the Company over a three year performance period. 
 
 
The Company was informed of the above transactions relating to Awards on 7th 
July 2009.
