Non Mainstream Pooled Product Rules

The Board of directors of The Prospect Japan Fund Limited (the "Company") has taken legal advice on the impact of the rules published by the Financial Conduct Authority ("FCA") in relation to the marketing and distribution of Non-Mainstream Pooled Investment Products. Based on this advice, the Board believes that the Company's shares are excluded from the FCA's restrictions which apply to Non-Mainstream Pooled Investment Products because the returns to investors are, and are expected to continue to be, wholly or predominantly linked to, contingent on, highly sensitive to or dependent on, the performance of or changes in the value of shares, debentures or government and public securities.

Accordingly, the Board believes that the retail distribution of the Company's shares to ordinary retail investors should be unaffected by the new rules relating to Non-Mainstream Pooled Investment Products.

The Board has further been advised that no guidance on the application of the rules to non-UK companies has been published by the FCA. Any subsequent changes to the assessment of the application of the rules to the Company will be communicated via an RIS announcement.
