Outcome of the Annual General Meeting held on 10th January 2003
The 7th Annual General Meeting of Network Technology Plc started at 12:03 in
Haywards Heath when a quorum was present.
The chairman withdrew Resolution 4 which dealt with asking shareholders'
permission to split the shares 1:10. The chairman gave the reason of "after
further consideration and advice" the decision had been taken to withdraw the
resolution, as the costs would outweigh the potential gain to the company at
this time. All other resolutions put to vote were carried as recommended by the
Board.
It was reported that the last 9 months of US trading were profitable but that UK
and Europe had slipped further which had required additional measures of
consolidation. The chairman highlighted the shift in new product now making 59%
of the turnover as shown in the recently announced interim figures to September
2002.
The chairman sees a recovery in the US sooner than a recovery in Europe or Japan
and will keep the company's focus in those areas that are likely to recover
first.
