Directorate Change
Matrix Communications Group is today proud to announce the appointment of
Richard (`Ric') Piper as the Group's Non-Executive Deputy Chairman. Ric begins
with immediate effect and will be assisting the Board with the strategic
direction and development of the Group and is becoming Deputy Chairman in lieu
of Michael Frank who will remain as a Non-Executive Director.
Ric qualified as a Chartered Accountant in 1977 with Deloitte (now
PricewaterhouseCoopers). He held senior finance roles in ICI, Citicorp and
Logica, becoming Finance Director of Logica UK in 1990. He was Group Finance
Director of WS Atkins from 1993 to 2002, being closely involved in its
successful London Stock Exchange flotation. He was Senior Independent Director
of Synstar from 1999 until its sale to HP in 2004. Since 2003 he has been
involved at board level and has advised on the growth and development of
several companies, including various listings on AIM. He is Chairman of Granby
Oil and Gas and a Non Executive Director of Cornwell Management Consultants.

Concurrently both Keith Mills and Ron Sandison will be stepping down from the
Board. Keith will be stepping down to focus his efforts on his role as the
Chief Executive of London 2012 where he will be responsible for the capital's
bid to host the 2012 Olympic Games. Ron is entering into retirement and intends
to spend more time with his family and pursuing his personal interests.
The Board of Matrix would like to take this opportunity to express its

seen the Group successfully position itself as the UK's leading integrated
high-performance technology Group.

(i) had any unspent convictions in relation to indictable offences;
(ii) been declared bankrupt or entered into an individual voluntary
arrangement;
(iii) been a director with an executive function of any company at the time or
within 12 months preceding any receivership, compulsory liquidation, creditors
voluntary liquidation, administration or any composition or arrangement with
that company's creditors generally or with any class of its creditors;
(iv) been a partner in a partnership at the time of, or within twelve months
preceding, any compulsory liquidation, administration or partnership voluntary
arrangement of any such partnership;
(v) had his assets the subject of any receivership or has been a partner of a
partnership at the time of or within the twelve months preceding, any assets
thereof being the subject of a receivership; or
(vi) been subject to any public criticism by any statutory or regulatory
authority (including any recognised professional body) or has ever been
disqualified by a court from acting as a director of a company or from acting
in the management or conduct of the affairs of any company.
