Kontich, Belgium - London, UK - 4 March 2011 - Hansen Transmissions 
International NV (LSE ticker 'HSN') ("Hansen Transmissions", "the Company") 
announces today the completion of the disposal of its industrial gearbox 
division, Hansen Industrial Transmissions NV ("HIT"), to Sumitomo Heavy 
Industries ("Sumitomo HI"). 
 
On 20 December 2010 the Company announced that it had entered into a conditional 
sale  and purchase agreement ("SPA")  with Sumitomo HI to  dispose of the entire 
issued  share capital  of HIT  ("the disposal").  A circular containing a notice 
convening  a general meeting of the Company  on 23 February 2011 was sent to the 
shareholders on 27 January 2011. 
 
On  23 February 2011 the Company received approval from its shareholders for the 
sale of HIT. 
 
The   Company   is  pleased  to  announce  that  following  the  above-mentioned 
shareholder  approval, all other  conditions to the  SPA have been satisfied and 
the disposal has been completed. 
 
The  proceeds received  at completion  by Hansen  Transmissions are 91.2 million 
EUR,  being the consideration  of 95.1 million EUR  less 66% of the  cost of the 
Social  Plan  implemented  in  the  Edegem  plant  of  HIT  in January 2011. The 
proceeds,  net  of  cash,  are  approximately  75 million EUR before transaction 
costs, estimated at 3.5 million EUR.
