                              Exercise of Warrants

                              Holdings in Company



Global Energy Development PLC ("Global" or the "Company") announces that it has
received notice from Harken Energy Corporation ("Harken"), a Delaware
corporation, that Lyford Investment Enterprises, Ltd ("Lyford") today exercised
warrants to purchase 7,000,000 Global ordinary shares held by Harken. These
warrants have an expiry date of 7 October 2005 and an exercise price of 50p and
their exercise does not enlarge the Company's issued share capital which is
currently 35,130,430 ordinary shares.


As a consequence of the exercise of warrants, Harken now holds 11,975,641
ordinary shares, representing 34.09% of the Company's issued share capital, and
Lyford holds 7,000,000 ordinary shares, representing 19.93% of the Company's
issued share capital. There are no further warrants outstanding with respect to
Global's ordinary shares.
