In conformity with the Transparency Directive's transitional
provision 6, Downing Protected VCT IV plc announces the following:

The Company's capital at 31 May 2008 consisted of 21,603,990 Ordinary
shares of 1 pence each.  The Company does not hold any shares in
treasury.

Therefore the total number of voting rights in Downing Protected VCT
IV plc is 21,603,990.

The above figure may be used by shareholders as the denominator for
the calculations by which they will determine if they are required to
notify their interest in, or a change to their interest in, Downing
Protected VCT IV plc under the FSA's Disclosure and Transparency
Rules.
