 Placing and Open Offer of 5,761,942 Placing Shares at 140p per Placing Share

 Acquisitions of C&K Austria and the Sensortech Business ("the Acquisitions")

                    Amendments to the Share Option Schemes


At the Extraordinary General Meeting of the Company held earlier today, the
ordinary resolutions to approve the Acquisitions, subject in the case of the
acquisition of C&K Austria to no subsequent material amendment to its terms,
and the amendments to the Rules of The 1996 Executive Share Option Scheme and
the Rules of The 1996 Employee Share Option Scheme were duly passed. The
special resolution to approve the Placing and Open Offer of 5,761,942 Placing
Shares at 140p per share was also duly passed.
