('Caerus' or the 'Company')
Notification of Major Holdings and Total Voting Rights
An aggregate total of 10,685,313 Ordinary Shares (the
"Transferred Shares") have been transferred to the Company by way
of gift ("Transfers"). The Company will be required to dispose of
these shares or cancel these shares within a period of three years
from the date of the transfer. Whilst the shares continue to be
held by the Company, the Company will not be permitted to exercise
the voting rights attaching to the Ordinary Shares. There are no
shares held in Treasury.
The Company has in issue a total of 61,211,258 Ordinary Shares.
The Transferred Shares represented a total of 17.46 per cent of the
total voting rights based upon the total number of Ordinary Shares
currently in issue ("Current Issued Share Capital"). The
notification of the Company's interest in the voting rights of the
Company (as set out in the TR-1 below) has been prepared based on
the Current Issued Share Capital as the denominator, but
shareholders should note the following paragraph.
Noting that the Company is not permitted to vote the Transferred
Shares, the total number of listed voting rights in the Company for
the purpose of Disclosure and Transparency Rule 5.6.1 (calculated
in accordance with Disclosure and Transparency Rule 5.6.2) is
50,525,945 ("Total Voting Rights"). This number should be used by
shareholders as the denominator for the calculations by which they
will determine if they are required to notify their interest in, or
a change to their interest in Caerus, under the FCA's Disclosure
and Transparency Rules.
