RESULTS OF THE OFFER TO QUALIFYING SHAREHOLDERS OF CLS HOLDINGS PLC ("CLS")
FOR SHARES IN CITADEL HOLDINGS PLC ("CITADEL") AND RESULT OF EGM

The Board of CLS is pleased to announce that valid acceptances from Qualifying
CLS Shareholders have been received in respect of 3,461,142 Offer Shares in
Citadel under the offer to Qualifying CLS Shareholders which closed at 3.00 pm
on 16 July, 1997, representing approximately 61% of the Offer Shares. 
Application by Qualifying CLS Shareholders will therefore be met in full. 
These shares will be clawed back from placees.

Dealings in the Ordinary Shares of Citadel are expected to commence on AIM on
23 July, 1997.

The Board of CLS is also pleased to announce the passing of the ordinary
resolution approving certain transactions with Citadel which was proposed at
the Company's EGM which took place today.
