Cedar Group Plc ("the Company")
 
Cedar Group plc, the software and services company,
announces that it has agreed to acquire a 15 per cent.
interest in Cedar US Inc. ("Cedar US"), the Company's US
distributor, for an initial cash consideration of #835,000.
The Company also has an option to acquire the remaining 85
per cent. of the Cedar US share capital for a further
consideration of #380,000.  In respect of this acquisition
the Company has issued 676,190 new ordinary shares of 5p
each (the "New Shares") and these shares have been placed
with institutions at a price of 105p per share.
 
Listing has been granted for the New Shares and dealings are
expected to commence on Thursday 24 June 1999.
