The Boards of Capital and GWR note recent press speculation and confirm they are
currently in discussions concerning the possibility of a nil premium all share
merger.  These discussions are ongoing and may or may not lead to a transaction.


A further announcement will be made as appropriate in due course.  Pending any
such announcement the companies do not intend to comment further.
