               MERGER OF CAPITAL RADIO WITH VIRGIN RADIO

The Boards of Capital Radio and Virgin Radio note the decision of the
Competition and Consumer Affairs Minister to refer the proposed merger of
Capital Radio plc with Virgin Radio Holdings Limited to the MMC.

We continue to believe that the proposed deal has no competitive implications
and that the development of Capital and Virgin as distinct radio brands is in
the best interests of listeners and advertisers as it will provide the
opportunity to challenge BBC Radio in the new digital age.

We believe that these views will be endorsed by listeners and advertisers to
the MMC.
