                        CENTRAL AFRICAN GOLD PLC ("the Company")
                             ORDINARY SHARES OF 0.1p EACH

On 4 August 2004 the Company announced a placing of 2.64 million new Ordinary
Shares of 0.1p each at a price of 7 pence per share.  The Company announces that
the final number of shares placed is 2,742,856. Application has been made for
the full number of new Ordinary Shares to be admitted to trading on AIM with
admission expected to take place on 13 August 2004.
