                    CENTRAL AFRICAN GOLD PLC ("THE COMPANY")



                          Ordinary Shares of 0.1p each



Application has been made for 5,000,000 Central African Gold plc Ordinary Shares
to be admitted to trading on AIM with admission expected to take place on 1
April 2004. The shares have been issued as a result of the exercise of options
by the Company's Chairman Phil Edmonds at the placing price of 1p per share,
immediately prior to the admission of the Company's shares to trading on AIM.
Following the exercise of options, Mr Edmonds is interested in 19,500,000
Ordinary Shares representing 12.3 per cent. of the Company's enlarged issued
share capital.
