The aggregate interests in shares of Brit plc held, directly or indirectly,
by funds managed and controlled by CVC European Equity V Limited ("CVC")
comprises the interests of: (i) Bishop, L.P. and (ii) each of the following
limited partnerships (such partnerships being the "CVC-Affiliated Funds"):
CVC European Equity Partners V (A) L.P., CVC European Equity Partners
V (B) L.P., CVC European Equity Partners V (C) L.P., CVC European Equity
Partners V (D) L.P. and CVC European Equity Partners V (E) L.P. Prior
to the transaction, Bishop, L.P. and each of the CVC-Affiliated Funds
held a direct interest in Brit plc. The CVC-Affiliated Funds have now
transferred their entire interest in Brit plc to White Poolco Holdings
Limited in exchange for newly issued shares in White Poolco Holdings
Limited. White Poolco Holdings Limited is wholly owned by the CVC-Affiliated
Funds.
As a result of this transaction, the aggregate overall holding in Brit
plc held, directly or indirectly, by funds managed and controlled by
CVC remains unchanged at 134,567,032 shares, representing 33.6% of the
total voting rights in Brit plc. Bishop, L.P. continues to have a direct
interest in Brit plc of 3.33%. The percentage interests of each CVC-Affiliated
Fund in the voting rights in Brit plc (30.27% in aggregate) remain unchanged,
although such interests are now held indirectly through White Poolco
Holdings Limited instead of directly.
