    The Company announces that, following a purchase of 24 Ordinary shares by John

Pearmund, a Director of the Company, on 23 May 2006, Mr Pearmund`s interest was

19,771 Ordinary 10p shares in the Company. (representing 0.02% of the issued
Ordinary shares).

The shares were purchased by Halifax on Mr Pearmund`s behalf at a price

of �1.1405 on 23 May. All the shares are held in an ISA.
