Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 12, 2022, Bernard Moyle, the Company’s Interim Chief Financial Officer, submitted his resignation effective as of September 9, 2022. Mr. Moyle’s decision to retire from his role as Interim Chief Financial Officer is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Following his retirement, the Company has established a special advisory committee to identify candidates to fulfill the position of Chief Financial Officer.
