Item 1.01. Entry into a Material Definitive Agreement.

On or about August 25, 2024, AMJ Global Technology (the “Company”) entered into a Software Purchase and Development Agreement (the “Agreement”) with Dataark Systems LLC, a Texas LLC (“Dataark”) pursuant to which the Company acquired an 8% interest in Dataark’s ElephantSqlDB® database software in consideration of the issuance of 1,333,333 shares of Company common stock to Dataark.

The foregoing description of the Agreement does not purport to be complete and is qualified in its entirety by reference to the Agreement, a copy of which is filed as Exhibit 10.1 to this Current Report on Form 8-K and incorporated in this Item 1.01 by reference in its entirety.
