The registrant's auditor raised an 11th-hour accounting issue that required additional research and consideration. The auditor was therefore unable to complete the financial statements, and management was unable to complete the Management Discussion and Analysis, prior to the filing deadline. The issue in question is not expected to materially impact the registrant's financial statements.
