Based on stockholder feedback, we adopted a proxy access bylaw that permits a stockholder who has, or a group of up to 20 stockholders who
have, owned at least 3% of the Companys outstanding common stock for at least three years to nominate and include in the Companys proxy materials the greater of two individuals or up to 20% of the number of directors then serving,
provided that the nominating stockholder or stockholder group and the nominees satisfy the requirements specified in the Bylaws.
