State below in reasonable detail why forms 10-K, 20-F, 11-K, 10-Q,
10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Renren Inc. (the “Company”) has determined that it requires
more time to review the information included in the Unaudited Interim Report, and is therefore unable, without unreasonable effort or
expense, to file its Quarterly Report on Form 10-Q for the fiscal quarter ended March 31, 2023 (the “Q1 2023 Form 10-Q”) by
the prescribed due date. The Company is working diligently to complete the Q1 2023 Form 10-Q as soon as possible, and anticipates that
it will file the Unaudited Interim Report on Form 10-Q on or before the fifth calendar day following May 15, 2023, the prescribed due
date.

The Company anticipates an increase in revenues of 18% to $12.1 million
in the first quarter ended March 31, 2023 in comparison to the first quarter ended March 31, 2022. Loss from operations improved from
a loss of $4.8 million in Q1 2022 to a loss of $3.4 million in Q1 2023. The increase in anticipated revenues was primarily due to an increase
in our SaaS business sales in the US market.
