BOCA RATON, Fla.--(BUSINESS WIRE)--DigitalBridge Group, Inc. (NYSE: DBRG) (“DigitalBridge” or the “Company”) today announced its participation in an approximately $600M secondary share sale completed by its portfolio company DataBank, a leading nationwide edge data center platform. DigitalBridge participated alongside existing investors and will receive gross cash proceeds of $59 million in connection with the transaction closing, expected in February 2025. The secondary transaction results from an oversubscribed $2 billion equity round that DataBank originally announced in October 2024 to finance the development of new data center campuses.

Marc Ganzi, CEO of DigitalBridge, said, “This transaction highlights not only the significant value creation we have generated for shareholders by investing alongside our limited partners, but also our commitment to continuously optimize our balance sheet and corporate capital structure. The transaction further enhances our track record of returning and recycling capital to investors, while also maintaining significant exposure, together with AustralianSuper, Swiss Life Asset Managers and our other partners, to the next phase of growth and value creation at DataBank, driven by strong AI-led demand for more data center power and capacity.”

In connection with the transaction, DigitalBridge will receive gross cash proceeds of $59 million and its ownership in DataBank will be adjusted to 7.8%. The pricing of the transaction represents a 24% increase from the prior recapitalization and is consistent with the current carrying value of the asset on the DigitalBridge balance sheet. The transaction reflects a 2.2x multiple on invested capital (MOIC) since DigitalBridge’s initial balance sheet investment in December 2019. DigitalBridge plans to continue to hold its 7.8% stake in DataBank, with the transaction implying a valuation of $486 million for DigitalBridge’s remaining ownership stake.

Thank you. Our next question is coming from the line of Dan Day with B. Riley.

Dan Day:
So, personally, for me just timing on putting the dividend back in place, just both timing and then sort of what you're looking at, to have in place before you go ahead and do that?

Marc Ganzi:
Well, I think look consistent with what Jacky said about our AFFO guidance for 2022. We'll give that guidance in our fourth quarter earnings, which will be early in Q1 of next year. I'll restate what I've consistently said all year, which is we are turning the dividend back on next year. And the level at which we will do that gates on a couple of different things that happened in the fourth quarter. But we plan to turn on a de minimis dividend. We've always been very clear with everyone that we see enormous opportunity to redeploy that capital and things that we believe are accretive and speak to long-term shareholder growth. And ultimately delivering the kind of earnings, EBITDA and revenue growth that we're delivering right now requires, as much capital as we can keep on the balance sheet. So there's a balance here, as you'd expect.

We believe that we have the potential to be one of the fastest growing digital REITs in the world, in terms of revenue growth, EBITDA growth and AFFO growth. And to do that we want to maintain maximum flexibility. But we are committed to turning the dividend back on.

Do you have a link to that fireside talk? I would like to hear it if you do. I have watched a few interviews with Ganzi, but can find the discussion about the dividends.

Getting close to 10 PPS....Ganzi said dividends will be back next year in a fireside talk...albeit divis will be in the range of American Tower Corp ~2% yield...But thats a good thing, as he said all cash will be going to buy more digital assets....I want high growth before becoming a cash cow divi paying beast....

I imagine by the time we settle at a base above 10, retail will start posting here and we will start moving through 20 at that point and dividends will be reinstated....right now this is pretty much all institutional owned and driven....except for a few lucky retail who can ride on their backs...

I own 45k shares and I totally think this sees $10+ in the next 12 months but this a Big Board stock and is in the "normal" portfolio not the OTC casino portfolio...lock those shares down wouldn't be surprised to see the dividend come back before too long
