5.05 Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics.
On
October 6, 2017, the Board of Directors (the “Board”) of Tecnoglass Inc. (the “Company”) adopted a new
Code of Conduct that builds upon the Company’s previous Code of Ethics and applies to all of the Company’s
directors, officers and employees, including its principal executive officer and principal financial and accounting officer. The
Board’s adoption of the new Code of Conduct effectively amends the Company’s previous Code of Ethics. However, the
adoption of the new Code of Conduct does not result in any waiver, explicit or implicit, of any provision of the Company’s
previous Code of Ethics.
A
copy of the Code of Conduct is attached to this current report on Form 8-K as Exhibit 14.1, and is incorporated by reference into
this Item 5.05.
