Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On January 23, 2024, the Compensation Committee of the Board of Directors of RCM Technologies, Inc. (the “Company”) approved a grant to Michael Saks, its Division President, Health Care Services, under the Company’s 2014 Omnibus Equity Compensation Plan, of 2,668 restricted stock units, valued at a total of $80,000 based on the closing price of the Company’s common stock, $0.05 par value, on the Nasdaq Stock Market on the date of grant, to vest on January 23, 2029.
