Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 23, 2021, Debra Crew, a member of our Board of Directors, informed us that she would not stand for reelection at our 2021 Annual Meeting of Shareholders. Ms. Crew not standing for reelection was not due to a disagreement with the company.
