Summary of Equity Treatment Vested Shares 1 All vested shares will settle in a cash payment equal to $26 per share AT CLOSE Unvested Equity • Equity vesting between now and Close will continue to vest and be treated as vested shares (above) at Close • TPG Money on Money (“MoM”) return awards are expected be considered fully vested and SETTLED IN CASH AT CLOSE 2 • All unvested equity as of Close will be converted to cash-based awards at $26 / share (less applicable taxes at vesting date), payable on same vesting schedule as current equity • Cash-based awards will be liquid when paid • Employees must continue to be actively employed for on applicable vesting date to receive payment Special Acceleration • Additionally, current equity participants will receive a Special Acceleration SETTLED IN CASH AT CLOSE 3 ➢Participants hired before Jan 1, 2021 will receive a Special Acceleration of 25% of their total unvested equity value as of the day of Close (or, if greater, acceleration of MOM return awards) ➢Participants hired between Jan 1, 2021 and October 31, 2021 will receive a Special Acceleration of 12.5% of their total unvested 3 equity value as of the day of Close ➢TPG MoM awards will count toward 25% • Acceleration taken from back end of participants vesting schedule • Employees must continue to be actively employed through Close to be eligible to receive Special Acceleration 1 Payments to be made as soon as administratively possible following close of the transaction 2 Options value excludes strike price McAfee Confidential 3 Special Acceleration will be calculated on value of unvested awards granted prior to November 5, 2021
