( 2)  Upon payout, the Reporting Person is entitled to receive 1 share of common stock for each 1 restricted stock unit.
( 3)  This grant of restricted stock units provided for immediate acceleration of vesting in the event that the Issuer achieved a certain performance target. As of September 30, 2007, the Issuer reached this target and the shares subject to this grant vested accordingly and were distributed on November 9, 2007.
