AgroFresh Solutions, Inc. Announces Effectiveness of Previously Filed Form S-3 Registration Statement

AgroFresh Solutions, Inc. (Nasdaq:AGFS) (“AgroFresh” or the “Company”) today announced that the Securities and Exchange Commission (the “SEC”) has declared effective its registration statement on Form S-3 (File No. 333-207106), which was originally filed on September 24, 2015 (the “Registration Statement”).

The Registration Statement registers the issuance by the Company of shares of its common stock that are issuable upon the exercise of the warrants issued in the Company’s initial public offering, as well as the resale of 4,878,048 shares of common stock that were originally issued and sold in a private placement (the “Private Placement”) consummated in connection with the Company’s initial business combination whereby the Company became AgroFresh Solutions, Inc. on July 31, 2015.

The Registration Statement was filed to satisfy AgroFresh’s obligations under the warrant agreement entered into in connection with the Company’s initial public offering, as well as its obligations under the subscription agreements entered into in connection with the Private Placement.

Neither the filing nor the effectiveness of the Registration Statement corresponds to any stockholder’s request to sell shares of the Company’s common stock, but rather documentation of agreements made prior to the closing of Boulevard Acquisition Corp’s purchase of AgroFresh from The Dow Chemical Company.
