Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 4, 2021, the Compensation Committee of the Board of Directors (the “Board”) of Comstock Mining Inc. (the “Company”) authorized a grant of 1,260,000 performance share units to key employees of the Company. The Executive Chairman and CEO of the Company was among the recipients of such performance share units, with a grant of 500,000 performance share units. Vesting of the awards is conditioned upon the achievement of strategic performance objectives of the Company described in the Comstock Mining Inc. 2020 Equity Incentive Plan, for half of the award, and achieving a per share price of $12 per share or greater for the other half of the award.
