Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective February 6, 2024, by resolution of the Board of Directors (the “Board”) of Verde Resources, Inc (the “Company”), Joseph Ambrose Lee, Jack Wong, Balakrishnan B.S. Muthu, Soo Yau Cho and Tay Hong Choon were appointed as members of the newly formed Management Committee (the “Committee”) of the Board, to oversee and manage the operations of the Company and its group of subsidiaries. The Committee shall be responsible for making decisions pertaining to the overall operations of the Company and shall report directly to the Board.
