Item 4.01 Changes in Registrant’s Certifying Accountant

On December 28, 2023, Cherry Bekaert LLP (“Cherry Bekaert”) resigned as the independent registered public accounting firm of IMAC Holdings, Inc. (the “Company”). Neither the Company’s board of directors nor the audit committee of the Company’s board of directors (the “Audit Committee”) took part in Cherry Bekaert’s decision to resign.

The Audit Committee has initiated a process to select and appoint a new accounting firm to serve as the Company’s independent registered public accounting firm.

The report of Cherry Bekaert regarding the Company’s financial statements for the fiscal years ended December 31, 2022 and 2021 did not contain any adverse opinion or disclaimer of opinion and was not qualified or modified as to uncertainty, audit scope or accounting principles.

During the fiscal years ended December 31, 2022 and 2021, and subsequent interim periods through the date of Cherry Bekaert’s resignation, there were no disagreements with Cherry Bekaert on any matter of accounting principles or practices, financial statement disclosure or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of Cherry Bekaert, would have caused it to make reference to such disagreement in its reports.

The Company provided Cherry Bekaert with a copy of this Form 8-K prior to its filing with the Securities and Exchange Commission and requested that Cherry Bekaert furnish the Company with a letter addressed to the Securities and Exchange Commission stating whether it agrees with the above statements and, if it does not agree, the respects in which it does not agree. A copy of the letter, dated December 28, 2023, is filed as Exhibit 16.1 (which is incorporated by reference herein) to this Form 8-K.
