Item 8.01 Other Events

As previously disclosed, on August 3, 2023, the Company received a notice letter from counsel for Northwestern University (“Northwestern”) alleging the Company breached its License Agreement, effective May 27, 2014 (the “2014 License”), and Restated License Agreement of August 15, 2015 (the “2015 License”). On October 3, 2023, Northwestern notified the Company that it was terminating the 2014 License. The Company is also continuing its exploration of strategic alternatives to maximize stockholder value from its historical assets.
