DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

(b) Charles Doucot, the Company’s Executive Vice President, will be leaving the Company effective September 15, 2023. Mr. Doucot will receive the severance benefits previously agreed to in his severance agreement dated February 26, 2019, subject to the terms and conditions set forth in such agreement.
